1. ACCEPTANCE OF TERMS

These Terms of Use ("Terms") constitute an agreement between 9385-3885 Québec inc. (hereinafter "Salle Privée," "we," "us," "our") and any person or entity ("User" or "you") who accesses or uses the services offered by the company, including the website https://salleprivee.ca/ (the "Site"), as well as any related rental, listing, or support services (the "Services").

By accessing or using our Services, you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you do not accept all the provisions, you may not use our Services.

Salle Privée reserves the right to modify the Terms or the Services at any time. Continued use of the Site or Services constitutes acceptance of any updates. The current version of the Terms is available at the bottom of each page of the Site.

2. DURATION

These Terms apply for the entire duration of your use of the Site and Services, and remain in effect as long as you have an active account or interact with the Services in any way.

3. PURPOSE

Salle Privée is a technology platform that allows users to list, search, compare, and book venues ("Venues") for events, as well as access related event services. The platform operates on two models:

  • Commission-Based Model: Applicable to users registered under a free or Essential plan. A commission is charged on bookings confirmed via the Site.
  • Commission-Free Model: Applicable to users subscribed to the Advanced, Premium, or Premium+ plans. These packages operate on a fixed annual payment, with no fees on bookings.

4. USER REPRESENTATIONS

The User represents and warrants that:

  • They are legally authorized to use the Services;
  • They will comply with all applicable laws and regulations at all times, particularly regarding privacy and data protection;
  • All information they provide on the platform is accurate, complete, and up-to-date.

The User agrees to use the platform in accordance with Salle Privée's policies. Specifically:

  • As a Renter, you agree to use the Venues in compliance with the conditions established with the Partners, including the type of event, number of guests, chosen services, safety rules, and any applicable regulations.
  • As a Partner (or Host), you agree to offer Venues that are true to their description, comply with safety standards, and to honor the commitments made to Renters.

5. VENUES

Any user wishing to list a Venue on the Site agrees to provide a clear, honest, and complete description of their space. This listing must include at a minimum:

  • Maximum capacity;
  • Accepted event types;
  • Conditions related to food and beverages (in-house or external caterer);
  • The precise address or city;
  • Prices for rental, food, beverages, and any additional services;
  • Available equipment (sound system, projectors, furniture, etc.);
  • Access conditions (parking, stairs, accessibility);
  • Representative photos, without excessive editing, and, if applicable, a virtual tour.

The Partner agrees to update their information as soon as any change occurs. In case of failure to do so or misleading representation, Salle Privée reserves the right to suspend or remove the Venue from the platform.

6. BOOKING PROCESS

Bookings are initiated through a detailed form submitted by the Renter via the platform. This form includes the nature of the event, number of guests, date, logistical needs, and any other relevant information.

Once the request is sent:

  • The Partner receives a notification and has 48 to 72 hours to respond with a preliminary quote or to decline the request with a justification.
  • Initial communication takes place exclusively on the platform to structure exchanges and ensure fair follow-up.
  • For Premium plans, partners benefit from priority access to requests and can engage in faster discussion through enhanced messaging tools. The organizer's contact details are shared only after a quote has been submitted or clear interest has been shown (tour request or event confirmation).

The price proposed by the Partner includes the base rental, additional services (catering, audiovisual, security, etc.), as well as applicable taxes.

The Renter can then:

  • Accept the quote and proceed with payment;
  • Request a tour;
  • Or ask additional questions via the integrated messaging system.

All applicable payment and cancellation policies will be clearly indicated in the quote and must be accepted before confirmation.

A cancellation within 72 hours of booking can be made without charge. Beyond this period, the cancellation policy chosen by the Partner applies (see article 17).

7. OBLIGATION TO USE SALLE PRIVÉE

Any request transmitted via Salle Privée, whether initiated by a form or forwarded by a company representative, must be tracked and finalized through the platform to ensure traceability, payment security, and compliance with our general terms.

As an exception, venues registered under a Premium or Premium+ plan, which are commission-free, may finalize the booking off-platform, provided that the initial contact was made via the platform and the connection with the organizer is traceable.

The Partner agrees not to divert requests received via Salle Privée to other channels without the prior consent of the company.

8. PAYMENT TERMS

8.1 – Renter Payment (for bookings managed on the platform)

Unless otherwise specified in the booking agreement:

  • Upon confirmation: 20% of the total amount is due immediately;
  • 60 days before the event: 50%;
  • 30 days before the event: 30% (final balance).

Payment is made via Salle Privée, which acts as a secure intermediary. The Renter receives an automated payment schedule and reminders.

The Renter can cancel without charge within 72 hours of their initial booking by notifying Salle Privée in writing. After this period, the Partner's cancellation policy applies.

8.2 – Payment to the Partner (for commission-based plans)

For Partners on Free or Essential plans (with commission), payments are disbursed according to the following schedule:

  • 15 days after receiving the first deposit (20%);
  • 45 days before the event: payment of 50%;
  • 14 days after the event: payment of the balance (30%), less commission.

Salle Privée deducts a commission from the total amount before transferring the funds, in accordance with the rate specified in the agreement.

8.3 – Payment to the Partner (commission-free plans)

Partners on Advanced, Premium, or Premium+ plans receive their payments directly from the Renter if they choose to finalize the booking off-platform. However, they must respect the obligation of initial contact via Salle Privée.

8.4 – Interest and Taxes

  • Any unpaid amount will bear interest at an annual rate of 19.99%, calculated from the due date.
  • Commissions (if applicable) are subject to applicable taxes.

9. LICENSE TO USE

Salle Privée grants the User a limited, non-exclusive, non-transferable, non-assignable, and revocable license to access the Site and use the Services for personal or professional purposes, in accordance with these Terms.

This license does not grant you any intellectual property rights in the Site or the Services. All rights not expressly granted in these Terms are reserved to Salle Privée.

The User is prohibited from:

  • Copying, modifying, or distributing the content of the Site;
  • Using the Site for illegal or unauthorized purposes;
  • Creating a derivative work based on our Services without prior written permission.

10. INTELLECTUAL PROPERTY

All content on the Site (text, visuals, videos, code, illustrations, photographs, etc.) is the exclusive property of Salle Privée or its partners and is protected by copyright, trademark, and other applicable laws.

It is strictly forbidden to reproduce, redistribute, publish, transmit, or commercially exploit any content without the express written permission of Salle Privée.

In case of authorized publication or use, no changes shall be made to the author attribution, trademarks, or legal notices.

11. PERSONAL INFORMATION PROTECTION

By accepting these Terms, the User consents to the collection, use, storage, and disclosure of their personal information in accordance with Salle Privée's Privacy Policy, available on the Site.

Certain data processing may involve technology providers located outside of Canada, particularly for security, service improvement, or targeted advertising purposes. No directly identifiable data will be shared without explicit consent.

The User may consult or modify their privacy preferences at any time by contacting customer service at [email protected].

12. COOKIES

The Salle Privée Site uses cookies to improve user experience, analyze traffic, and personalize content.

The User can disable cookies by changing their browser settings. However, some features of the Site may not function properly as a result.

13. THIRD-PARTY SERVICES

As part of its activities, Salle Privée may recommend or give you access to applications, products, services, or content offered by third parties ("Third-Party Services"), including through integrations or links to other websites.

These Third-Party Services are offered for informational or practical purposes only. By accessing these services, you acknowledge that:

  • You do so on your own initiative;
  • You are directly bound by the terms and privacy policies of the third-party provider;
  • Salle Privée is not responsible for the content, accuracy, operation, or security of these Third-Party Services.

Salle Privée disclaims all liability for any direct or indirect damage or loss arising from your interaction with these Third-Party Services.

14. NO WARRANTY

You acknowledge that your use of the Site and Services is at your own risk.

The Services are provided "as is" and "as available," without any warranty, express or implied, including with respect to:

  • Their performance or continuous availability;
  • Their fitness for a particular purpose;
  • The accuracy or reliability of the information obtained through the platform.

Salle Privée does not guarantee the truthfulness of the information provided by users (Partners or Renters), nor the success or actual occurrence of an event booked via the platform. It is your responsibility to validate the details of an agreement before concluding it.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Salle Privée (as well as its officers, employees, partners, or suppliers) shall not be liable for any direct, indirect, special, punitive, incidental, or consequential damages, including but not limited to:

  • Loss of revenue or profits;
  • Business interruption;
  • Loss of data;
  • Problems related to the holding or cancellation of an event.

This limitation applies even if Salle Privée has been informed of the possibility of such damages. It does not apply in cases of gross negligence or willful misconduct.

16. SEVERABILITY, ENTIRE AGREEMENT, AND HEADINGS

If any provision of these Terms is deemed invalid, illegal, or unenforceable by a competent court, such invalidity shall not affect the validity or enforceability of the other provisions, which shall remain in full force and effect.

These Terms, including the Privacy Policy, represent the entire agreement between Salle Privée and the User, and supersede any prior agreement, whether oral or written, relating to the subject matter.

The article headings are provided for convenience only and do not affect the interpretation of the clauses in any way.

17. CANCELLATION POLICY

The cancellation policy applies to all bookings made through the platform. Each Partner chooses a policy from the following options upon registration:

  • Flexible: 80% of the deposit is refundable if the cancellation occurs 60 days or more before the event, 50% refundable up to 30 days before the event.
  • Standard: 60% of the deposit is refundable 60 days before, 30% refundable up to 30 days before.
  • Strict: 30% of the deposit is refundable up to 60 days before the event, non-refundable after this deadline.
  • Firm: Deposit is non-refundable, regardless of the cancellation date.

Regardless of the chosen policy, a 72-hour grace period following the initial booking confirmation allows the Renter to cancel without charge. This cancellation must be notified in writing to [email protected].

18. COVERED EVENTS (FORCE MAJEURE)

Certain exceptional circumstances may allow for a cancellation without charge, regardless of the chosen cancellation policy. The following are considered force majeure events ("Covered Events"), provided they occur after the booking date and make the execution of the event legally impossible or impractical:

  • Public health emergencies: Officially declared epidemics or pandemics (excluding endemic diseases like the flu).
  • Binding government restrictions: Forced closures, mandatory evacuations, or bans on gatherings.
  • Major conflicts: War, insurrection, terrorist attacks, or major civil unrest.
  • Natural disasters: Earthquakes, floods, major storms causing interruptions of essential services.
  • Large-scale outages: Prolonged power, water, or heating outages affecting the normal conduct of the event.

Not covered are: ordinary logistical constraints, predictable weather, personal impediments, or non-binding travel advisories.

In all cases, Salle Privée reserves the right to assess the situation and decide on possible adjustments, in collaboration with the involved parties. The platform cannot be held responsible for indirect financial losses related to a Covered Event.

19 – SUBSCRIPTION PLANS

19.1 Description of Packages

Salle Privée offers annual commission-free subscription plans, designated as Advanced, Premium, and Premium+. These plans offer Partners distinct advantages such as:

  • Increased visibility in search results;
  • Access to higher-value booking requests;
  • Priority receipt of event requests;
  • Dedicated marketing tools (newsletters, professional photos, 3D tour, etc.);
  • Easier contact with organizers after an initial expression of interest (quote submission or tour request).

The details of each package are specified in the commercial documentation or in the partner area of the platform.

19.2 No Commission

Partners subscribed to an Advanced, Premium, or Premium+ package are not subject to any commission on bookings made. In return, they agree to pay annual subscription fees according to the chosen plan.

19.3 Use of the Platform

Even without a commission, Premium Partners agree to:

  • Receive and process initial requests via the Salle Privée platform;
  • Submit an initial quote via the platform, allowing the client to compare options in a structured environment;
  • Respect the indicated response times (72 hours maximum).

Once an organizer shows interest (quote accepted, tour requested, or explicit message), their respective contact details may be shared, allowing both parties to continue the exchange directly, at their discretion.

19.4 Off-Platform Bookings

Premium Partners may, after initial contact via Salle Privée, finalize the booking off-platform, without using Salle Privée's payment system. This exception is permitted only if the organizer explicitly requests it, and provided that:

  • The Partner respects the cancellation policy chosen at registration;
  • The initial quote was submitted via the platform.

Salle Privée disclaims all liability for the execution of bookings concluded outside its system. No mediation or after-sales support can be provided in these cases, unless otherwise stated in a separate commercial agreement.

19.5 Payment and Renewal

The annual subscription is payable in a single installment at the time of plan activation. It is valid for a period of 12 months from the activation date. At the end of this period, the subscription may be renewed manually or automatically according to the terms provided at the time of purchase.

No refund is offered for early termination, unless otherwise stated in writing.

19.6 Suspension and Non-Compliance

Salle Privée reserves the right to suspend or revoke any subscription in case of:

  • Abuse of the platform (e.g., systematic circumvention, bypassing the initial quote submission, sending leads to third parties);
  • False representations about the venue or services offered;
  • Repeated failure to meet response deadlines or commitments made to organizers.

In the event of suspension for serious breach, no refund of the subscription fee will be made.

20. GOVERNING LAW

These Terms are governed by the laws of the province of Quebec, in Canada, without regard to conflict of law rules. Any dispute or claim arising from the use of the Services or these Terms shall be under the exclusive jurisdiction of the courts located in the judicial district of Montreal, Quebec.
